Welcome to AyeSales. By accessing our website or using our managed Sales Development services (the "Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree, please do not use our Services.

1. Service Description

AyeSales provides a managed "Hybrid SDR" service that combines human expertise with artificial intelligence to execute sales development tasks, including prospecting, list building, and multi-channel outreach. We act as an extension of your sales team to book qualified meetings.

2. Client Obligations

To allow us to perform the Service, you agree to:

  • Provide a clear Ideal Customer Profile (ICP) and initial messaging guidance.
  • Grant necessary access to your CRM or calendar tools for integration purposes.
  • Review and approve all messaging playbooks prior to launch. AyeSales is not liable for outreach content that has been approved by the Client.
  • Ensure you have the legal right to contact any specific prospect lists you provide to us.

3. Fees and Payment

Subscription:

Services are billed on a monthly subscription basis, starting at the rate defined in your Order Form (e.g., $999/month).

Payment Terms:

Invoices are due upon receipt or as automatically charged via credit card/ACH at the start of the billing cycle.

Refunds:

Due to the labor-intensive nature of our human-verified service, we do not offer refunds for partial months or services already rendered.

4. Intellectual Property

Client Data:

You retain all ownership rights to your customer data, prospect lists, and specific messaging strategies provided by you.

AyeSales IP:

We retain all rights to our proprietary methodologies, AI workflows, generalized playbooks, and the "AI Engine" technology used to deliver the service.

5. Data Compliance & Anti-Spam

AyeSales is committed to compliant outreach.

  • We adhere to CAN-SPAM and GDPR guidelines.
  • We maintain a global suppression list. If a prospect opts out, we will ensure they are not contacted again on your behalf.
  • You acknowledge that you are the "Sender" of emails for compliance purposes, and we are acting as your agent.

6. Limitation of Liability

To the maximum extent permitted by law, AyeSales shall not be liable for any indirect, incidental, or consequential damages (including lost profits or data) arising from the use of our Service. Our total liability is limited to the amount paid by you in the three (3) months preceding the event.

7. Termination

Cancellation:

You may cancel your subscription with 30 days' written notice.

Termination for Cause:

We reserve the right to terminate service immediately if we detect abusive behavior, non-payment, or violation of these Terms.

8. Governing Law

These Terms are governed by the laws of India.
